Terms of Use
These terms govern the use of the oloodi.com website and set out the licence status of the internal software built by Oloodi Technologies Inc. ("Oloodi", "we", "us"), a company incorporated in Quebec and based in Montréal, Quebec, Canada.
1. Purpose and scope
By browsing oloodi.com you accept these terms. If you do not accept them, please do not use the site.
These terms also describe the status of Oloodi's internal software, including Oloodi Accounting Assistant, the internal tool that connects to Oloodi's own QuickBooks Online company. That tool is covered here for transparency, not because it is offered to you.
2. Internal software: no licence granted
Oloodi Accounting Assistant is built for Oloodi's exclusive internal use. It is not distributed, not sold, not published, and not made available to third parties. Its only authorized user is Oloodi's director, operating on Oloodi's own accounting records.
Accordingly, no licence, right of use, sublicence or access right of any kind is granted to any third party in respect of that software. Nothing on this site, and nothing in these terms, should be read as an offer to licence, sell, lease or otherwise provide it. There is no external end user, no subscription, and no fee.
Should Oloodi ever make that software, or any successor to it, available outside the company, it would be governed by separate terms published at that time.
3. The website
The content of oloodi.com is published for general information about Oloodi, its products and its practice. It does not constitute professional, legal, accounting, tax or engineering advice, and it does not create a client relationship. Descriptions of products, services and results may change without notice.
You agree not to:
- use the site in a way that disrupts it or attempts to gain unauthorized access to it;
- scrape, republish or resell its content as your own;
- use Oloodi's names, logos or brand assets without written permission.
4. Intellectual property
The site, its content, its design, the Oloodi name and logo, and Oloodi's software remain the property of Oloodi Technologies Inc. or of its licensors, and are protected by applicable intellectual property law. No transfer of ownership is made by these terms.
5. No warranty
The site and any Oloodi software referred to here are provided "as is" and "as available", without warranty of any kind, express or implied, including any implied warranty of quality, fitness for a particular purpose, accuracy, availability or non-infringement, to the extent permitted by applicable law.
6. Limitation of liability
To the extent permitted by applicable law, Oloodi Technologies Inc., its directors, employees and contractors cannot be held liable for any direct, indirect, incidental, special or consequential damage, including loss of data, loss of profit or business interruption, arising from the use of, or the inability to use, this site or any software referred to in these terms.
Nothing in these terms limits liability where the law does not allow it to be limited.
7. Third-party services
This site links to third-party sites and embeds third-party services, including Calendly for booking. Oloodi's internal accounting tool connects to QuickBooks Online, operated by Intuit. Those services are governed by their own terms and policies, which Oloodi does not control.
8. Privacy
The handling of personal information is described in our Privacy Policy, which forms part of these terms.
9. Governing law
These terms are governed by the laws applicable in the Province of Quebec and the laws of Canada applicable there. Any dispute relating to them falls within the exclusive jurisdiction of the courts of the judicial district of Montréal, Quebec, Canada.
10. Changes
We may update these terms. The date at the top of the page always reflects the version in force, and continued use of the site after an update constitutes acceptance of it.
